By accessing, browsing or making purchases using the Connect South West Web Site ('Web Site') you agree to these terms and conditions of use ('Terms of Use'). Connect South West may update or change this Web Site including these Terms of Use from time to time without prior notice. You should regularly check these Terms of Use.

GENERAL TERMS

1. South West of Western Australia Focus

Many of the services available through our Web Site are only available to organisations or individuals who reside or operate in the South West Region of Western Australia.

These restricted services include but are not limited to:

  • Having a listing in the Connect South West.com.au directory:

Any South West Business, Community Group or Government Agency can have a free listing in the Connect South West.com.au directory. This listing includes organisation name, address, phone number, fax number, email and web address, 1 photo or logo and a short description of the organisation.

  • Having an entry in the shopping cart:

The shopping cart/ecommerce facility is available only to businesses, community groups or government agencies in the South West. This facility is designed to be an enabling tool for businesses to test if e-commerce activity is suitable for their organisation. Therefore the shopping cart is limited to 20 items per businesses or government agency. There is no limit for community groups. Click Here to view the "Merchant Agreement".

  • Having access to a website template:

The web site template facility is available only to businesses, community groups or government agencies in the South West of Western Australia. This facility is designed to be an enabling tool for businesses to test if a web site is suitable for their organisation. The web site template is limited to 5 pages per businesses or government agency. There is no limit for community groups.

2. Copyright

The content on this Web Site is Connect South West's intellectual property and subject to copyright.

If you believe that some of your work has been illegally copied onto the Web Site, please email mysouthwest@mysouthwest.com.au with the location and time the content appeared and some proof of your ownership.

3. Links to Other Sites

For your convenience and information, this Web Site may contain links to other sites. Connect South West makes no representation or warranty as to the accuracy, currency or any other aspect of the information on those linked sites. A link to another site should not be construed as an endorsement or recommendation by Connect South West of any information, goods or services on that other site.

Connect South West has no control over such sites. You acknowledge and agree that Connect South West shall not be responsible:

  • for the availability of such external sites, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources; and
  • or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

4. Linking to This Web Site

You may only link to this Web Site with the express written permission of Connect South West. Any links if allowed, must only link directly to this Web Site's homepage (and no other pages within the Web Site) unless otherwise agreed by Connect South West in writing.

5. Virus Warning

The internet and the world wide web are unsecured public networks. You acknowledge and agree that (and will be responsible for any loss or damage caused by the following):

  • information sent to or from this online area may be intercepted, corrupted or modified by third parties; or
  • files obtained from or through this online area may contain computer viruses or other defects.

6. Use of Web Site and Services

You agree to not use the Web Site to:

  • upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • harm minors in any way;
  • impersonate any person or entity, including, but not limited to, a Connect South West official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Web Site;
  • upload, post, email or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • upload, post, email or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
  • upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose;
  • upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Web Site are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
  • interfere with or disrupt the Web Site or servers or networks connected to the Web Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Web Site;
  • "stalk" or otherwise harass another member or user of the Web Site; or
  • collect or store personal data about other users, or members.

7. Submissions

By posting or submitting content to the Web Site, you grant Connect South West and its affiliates and licensees the right to use, reproduce, display, perform, adapt, modify, remove, distribute, have distributed, and promote the content in any form, anywhere and for any purpose; and warrant and represent that you own or otherwise control all of the rights to the content and that public posting and use of your content by Connect South West will not infringe or violate the rights of any third party.

If you send us creative suggestions, ideas, notes, drawings, or other information (collectively, the "Submissions"), the Submissions shall be deemed, and shall remain, the property of Connect South West. None of the Submissions shall be subject to any obligation of confidence on the part of Connect South West, and Connect South West shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, Connect South West shall exclusively own all now known or hereafter existing rights to the Submissions of every kind and nature and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions.

No compensation will be paid with respect to the use of or dealing with any Submission. Connect South West is under no obligation to post or use any Submission.

8. Limits and Rules for Services

You agree that Connect South West may establish limits and usage rules concerning use of any Connect South West service offered on the Web Site.

Connect South West reserves the right, in its sole discretion, to terminate your access to the Web Site and the related services or any portion thereof at any time, without notice.

Connect South West may also terminate or suspend your access for inactivity, which is defined as failing to log into a particular service for an extended period of time, as determined by Connect South West.

9. Contract Formation

Nothing in this Web Site, including these Terms of Use, is to be construed as an offer to enter into a contract with Connect South West or a third party in relation to the provision of any goods and/or services. This Web Site and the goods and services displayed within it is an invitation to treat only and not an offer capable of acceptance.

Connect South West and any third parties advertising their goods or services on the Web Site, reserve the right to accept or reject your offer for any reason, including, without limitation, the unavailability of any product or service, an error in the price or the product or service description posted on this Web Site, or an error in your order. There may be other reasons why Connect South West or a third party cannot fulfil you order. Therefore, your contract with Connect South West or the third party only comes into existence when Connect South West or the third party advises you that it has accepted your order.

Connect South West and third parties will endeavour to confirm your order within 1 business day.

Any dealings with third parties (including advertisers) included within the Web Site or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser or other third party. Connect South West shall not be responsible or liable for any part of any such dealings or promotions.

CLASSIFIEDS

10. Identity Verification

We use many techniques to identify our users when they register on our site. However, because user verification on the internet is difficult, Connect South West cannot and does not confirm each user's purported identity. We have established a user-initiated feedback system to help you evaluate with whom you are dealing. We also encourage you to communicate directly with potential trading partners through the tools available on our site.

11. Listing and Selling

You must be legally able to sell the item(s) you list for sale on our site. You must describe your item and all terms of sale on the listing page of our site in accordance with all relevant laws. Your listings may only include text descriptions, graphics, pictures and other content relevant to the sale of that item. All listed items must be listed in an appropriate category.

Without limiting any other remedies, Connect South West may suspend or terminate your account if we suspect on a reasonable basis that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with our site.

12. Your Information

"Your Information" is defined as any information you provide to us or other users in the registration or listing process, in any public message area (including the feedback area) or through any email feature. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information.

13. Restricted Activities

Your Information (or any items listed) and your activities on the site must not:

  • be false, inaccurate or misleading;
  • be fraudulent or involve the sale of counterfeit or stolen items;
  • infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  • violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
  • be defamatory, trade libellous, unlawfully threatening or unlawfully harassing;
  • be obscene or contains pornography;
  • contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
  • create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and
  • link directly or indirectly to or include descriptions of goods or services that:
    • are prohibited under this Agreement; or
    • are concurrently listed for sale on a web site other than Connect South West’s (this does not prevent linking to or advertising an Connect South West item from another web site); or
    • you do not have a right to link to or include.

You may not list any item on the Web Site (or consummate any transaction that was initiated using our service) that, by paying to us the listing fee or the final value fee, could cause us to violate any law.

14. License

You agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information.

DIRECTORY

15. Listings

Some Directory Listings and the information contained therein may have been externally sourced by us and are posted in the Directory in an unsolicited manner.

If your business, Government Agency or community group is listed and you do not wish to remain on the Directory or do not accept these Terms of Use please notify us so that we may remove your Directory Listing.

16. Rejection, or Removal

We reserve the right to reject, refuse or remove a Directory Listing at any time for any reason and without being obliged to provide any reasons to you.

17. Security Access Password

If you wish to directly make changes to any information contained in your Directory Listing, you first need to obtain a security access password from us. You must keep secure the Security Access Password and ensure that only persons authorised by you have access to and use of the Security Access Password for the purpose only for which it was provided to you.

18. Promotions

From time to time, we may undertake promotions and make special offers in relation to the Directory ('Promotions'). All Promotions are offered subject to their own terms and conditions and may be withdrawn or altered at our discretion.

19. Your Obligations

Information in your Directory Listing must comply with these Terms of Use and must:

  • be for a business, Government Agency or community group with a physical location and active presence within the South West of Western Australia;
  • offer only products or services that complies with all applicable laws;
  • relate only to the entity the subject of the Directory Listing; and
  • be true and accurate and be kept up to date.

In accessing and using your Directory Listing, you must not:

  • tamper or interfere with or hinder the technical managerial or administrative operations of or make unauthorised modifications to the Directory or the Web Site;
  • seek to probe, scan or test the vulnerability of the Web Site or system or network;
  • breach any security or authentication measures for the Directory or the Web Site or system or network;
  • attempt to gain access to or use of any other Directory Listing; and
  • knowingly transmit any virus or other disabling feature to the Directory or Web Site or system or network.

20. Our Reserved Rights

In addition to our reserved rights to reject, refuse and remove your Directory Listing for any reason and at any time, we also reserve the rights to, at any and all times and without notice to you:

  • monitor your Directory Listing to ensure that you are complying with these Terms of Use; and
  • record the outcomes of our monitoring activities, without any obligation to disclose or report the outcomes of our monitoring activities to you.

FEES AND CHARGES

21. No Charges

Directory listings and other services are currently provided free of charge. There may be charges for the transmission of purchase information to a merchant or retailer using the Web Site for the promotion and sale of goods or services.

22. Introduction of Fees and Charges

We reserve the right to introduce and, once introduced, to change, charges for Directory listings and other services, from time to time. If we do so, we will notify you at the address contained in your Directory Listing or at the contact address provided by you, within a reasonable time before the introduction or change takes effect.

If you do not agree with the introduced or changed listing charges, you are required to immediately remove (if you have a Security Access Password) or otherwise notify us by Contacting Us requesting removal of your Directory Listing before the listing charges take effect.

23. Non Payment

If you do not pay the listing charges within 30 days of such charges coming into effect or being due and payable, we reserve the right to remove immediately and without any further notice to your Directory Listing from the Directory.

PHOTOS & GALLERY

24. Posting

By posting a Submission that contain images, photographs, pictures or that are otherwise graphical in whole or in part ("Pictures"), you warrant and represent that:

  • you are the copyright owner of such Picture, or that the copyright owner of such Picture has granted you permission to use such Picture or any content and/or images contained in such Picture consistent with the manner and purpose of your use and as otherwise permitted by these Terms of Use and the Connect South West Site/Services,
  • you have the rights necessary to grant the licenses and sublicenses described in these Terms of Use, and
  • that each person depicted in such Picture, if any, has provided consent to the use of the Picture as set forth in these Terms of Use, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Picture.

By Posting a Picture, you are granting:

  • to all members of your private community (for each such Picture available to members of such private community),
  • to the general public (for each such Picture available anywhere on the Web Site, other than a private community), and/or
  • to any person with whom you share Pictures through e-mail using the Web Site, permission to use your Picture in connection with the use, as permitted by these Terms of Use, of the Web Site, (including, by way of example, and not as a limitation, downloading, printing and making prints and gift items which include such Picture), and including, without limitation, a non-exclusive, world-wide, royalty-free license to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Picture without having your name attached to such Picture, and the right to sublicense such rights to any supplier of the Web Site.

The licenses granted for a Picture will terminate at the time you completely remove such Picture from the Connect South West Web Site, provided that, such termination shall not affect any licenses granted in connection with such Picture prior to the time you completely remove such Picture.

No compensation will be paid with respect to the use of any Picture.

25. Soap Box

Comments posted on the soap box that violate our standards are routinely removed without further comment. Additionally, Connect South West reserves the right to delete members accounts or limit their access to the Connect South West site for posting inappropriate items to the soap box.

You are required to abide by the following code of conduct in relation to the soap box:

  • Do not post using a false email address or false identity, including those of other soap box participants or public figures.
  • No profanity or obscenities of any kind, even disguised with *asterisks.
  • No personal attacks on other soap box participants. (Personal attacks are defined as comments that reflect upon the person instead of their opinion.)
  • Comments that are slanderous, defamatory, obscene, indecent, lewd, pornographic, violent, abusive, insulting, threatening, harassing, or otherwise in violation of the law are not tolerated.
  • No advertising of any kind.

Because of public nature of the soap box, Connect South West cannot and does not guarantee the accuracy of any content posted to the soap box by users.

INFORMATION COLLECTION AND PRIVACY

26. Information Collection

Connect South West collects personal information when you register with Connect South West, when you use Connect South West products or services, and when you visit the Web Site or the pages of certain Connect South West partners. Connect South West may combine information about you that we have with information we obtain from business partners or other companies.

When you register we may ask for information such as your name, address, email address, birth date, gender, post code, occupation, industry, and personal interests. Once you register with Connect South West and sign in to our Web Site or services, you are not anonymous to us.

Connect South West may collect information about your transactions with us and with some of our business partners, including information about your use of services that we offer.

Connect South West automatically receives and records information on our server logs from your browser, including your IP address, Connect South West cookie information, and the page you request.

Connect South West uses information for the following general purposes: to customize the advertising and content you see, fulfil your requests for products and services, improve our services, contact you, conduct research, and provide anonymous reporting for internal and external clients.

27. Information Sharing and Disclosure

Connect South West does not rent, sell, or share personal information about you with other people or non-affiliated companies except to provide products or services you've requested, when we have your permission, or under the following circumstances:

  • we provide the information to trusted partners who work on behalf of or with Connect South West under confidentiality agreements. These companies may use your personal information to help Connect South West communicate with you about offers from Connect South West and our marketing partners. However, these companies do not have any independent right to share this information.
  • we respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims;
  • we believe it is necessary to share information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of the Terms of Use, or as otherwise required by law.
  • we transfer information about you if Connect South West is acquired by or merged with another entity. In this event, Connect South West will notify you before information about you is transferred and becomes subject to a different privacy policy.

Connect South West does not provide any personal information to the advertiser when you interact with or view a targeted advertisement. However, by interacting with or viewing an ad you are consenting to the possibility that the advertiser will make the assumption that you meet the targeting criteria used to display the advertisement.

Connect South West may set and access Connect South West cookies on your computer.

28. Privacy

Pursuant to Connect South West's privacy policy, we may disclose to third parties certain information contained in your registration data or related data unless you choose to opt out from such disclosures or in the good faith belief that such action is reasonably necessary to comply with the law, legal process, or to enforce the Terms of Service. Connect South West will only use Your Information in accordance with our Privacy Policy.

DISCLAIMER AND LIMITATION OF GENERAL LIABILITY

29. General Disclaimer

Connect South West uses diligent efforts to maintain the Web Site, but Connect South West is not responsible for any defects or failures associated with the Web Site or any damages (such as lost profits or other consequential damages) that may result from any such defects or failures. In addition, Connect South West makes no guarantees as to the sites and information located worldwide throughout the Internet to which you may access as a result of the use of the Web Site, including as to:

  • the accuracy, currency, content, or quality of any such sites and information, or
  • whether any search using the Web Site may locate unintended and objectionable content.

30. Disclaimer of Warranties

Please note the following important disclaimers of warranties:

The Web Site is provided 'as is' and you use it at your sole risk Connect South West expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Without limitation, connect south west makes no warranty that the Web Site will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Web Site will be accurate or reliable, or that the quality of any products, services, information, or other material obtained through the Web Site will meet your expectations.

Any material downloaded or otherwise obtained through the use of the Web Site is done at your sole risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

31. Disclaimer Regarding Merchants

The Web Site provides shopping services to help you locate and potentially purchase products from online and offline retailers. Connect South West does not, however, control these independent retailers and Connect South West does not provide any assurance, warranty or guarantee of any kind that you will be satisfied with their products or services.

When shopping by means of services provided by Connect South West you acknowledge and agree that Connect South West does not endorse any of the products or services ("Merchandise") linked to from or through the Web Site, nor has Connect South West taken any steps to confirm the accuracy or reliability of any of the information provided by third parties through Connect South West or their own web sites.

Connect South West expressly disclaims any and all representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third party. We advise you to exercise your own judgment and investigate as you deem necessary before proceeding with any online or offline transaction with any of these third parties.

33. Liability

  • At the date the information was placed on the Web Site the information was believed to be correct. However, Connect South West is not liable to you or anyone else if errors occur in the information on this Web Site or if that information is not up to date.
  • Connect South West, its related bodies corporate or its employees, agents, representatives, suppliers, or contractors will not be liable for any damages of any kind, including without limitation any compensatory, incidental, direct, indirect, special, punitive, or consequential damages, loss of use, loss of data, loss of income or profit, loss of or damage to property, claims of third parties or other losses of any kind, arising out of or in connection with the use of this Web Site or any Web Site with which it is linked.
  • This clause does not modify or exclude any condition or warranty implied into the these Terms of Use or any liability imposed on Connect South West by any Australian law (including the Trade Practices Act) if to do so would contravene that law or make any part of this clause void.
  • To the extent permitted by law, Connect South West excludes all conditions and warranties implied into these Terms of Use and limits its liability for breach of any implied condition or warranty that it cannot exclude to the greater of (at Connect South West's option):
    • the replacement of any product purchased from Connect South West; and
    • the purchase price paid by you to Connect South West for that product or service.

33. Indemnification

You agree to fully indemnify and hold Connect South West harmless from any claim, cost, demand, tax, liability or damage (including legal costs on a full indemnity basis) incurred by Connect South West, its related bodies corporate, directors, employees, agents and representatives arising out of or in connection with a breach by you of these Terms of Use, your use of this Web Site, or the infringement by you of any intellectual property or other right of any person or entity.

MISCELLANEOUS

34. Modification of Terms of Use

Connect South West reserves the right to change the Terms of Use, including but not limited to the charges associated with the use of the Web Site. You are responsible for regularly reviewing the Terms of Use and additional terms posted on the Web Site. Your continued use of the Web Site constitutes your agreement to the Terms of Use.

35. Waiver

Connect South West's failure to exercise or enforce any one or more of its rights under these Terms of Use will not constitute a waiver of such rights unless such waiver is granted by Connect South West in writing.

36. Governing Law

These Terms of Use will be governed and interpreted in accordance with the laws of Western Australia. In the event of a dispute out of or relating to these Terms of Use, or your use of or access to this Web Site, litigation must be brought in a State or Federal Court in Perth, Australia. By using this Web Site, you consent to the exclusive jurisdiction of those courts.

37. Averse Construction

No provision of this agreement will be construed adversely against a party solely because that party was responsible for drafting that particular provision.

38. Relationship

These Terms of Use do not create a relationship of employment, agency or partnership between the parties.

39. Interpretation

In these Terms of Use, except where the context otherwise requires:

  • the singular includes the plural and vice versa, and a gender includes other genders;
  • another grammatical form of a defined word or expression has a corresponding meaning;
  • a reference to A$, $A, dollar or $ is to Australian currency;
  • a reference to time is to Western Australia time;
  • a reference to a party is to a party to this agreement, and a reference to a party to a document includes the party's executors, administrators, successors and permitted assigns and substitutes;
  • a reference to a person includes a natural person, partnership, body corporate, association, governmental or local authority or agency or other entity;
  • a reference to a statute, ordinance, code or other law includes regulations and other instruments under it and consolidations, amendments, re‑enactments or replacements of any of them;
  • a word or expression defined in the Corporations Act has the meaning given to it in the Corporations Act;
  • the meaning of general words is not limited by specific examples introduced by including, for example or similar expressions;
  • any agreement, representation, warranty or indemnity by two or more parties (including where two or more persons are included in the same defined term) binds them jointly and severally;
  • any agreement, representation, warranty or indemnity in favour of two or more parties (including where two or more persons are included in the same defined term) is for the benefit of them jointly and severally;
  • a rule of construction does not apply to the disadvantage of a party because the party was responsible for the preparation of this agreement or any part of it; and
  • headings are for ease of reference only and do not affect interpretation
